BitDegree Instructor Payment Terms and Conditions

The BitDegree Instructor Payment Terms and Conditions (hereinafter - Conditions) are an addendum to the BitDegree Terms Of Service (hereinafter - Terms), which can be found here. All provisions, conditions and terms laid out in the Terms also apply to Conditions.

BitDegree.org is an internet-based platform (hereinafter - Platform) run by “BitDegree”, where registered users (hereinafter - Instructors) licence the teaching content that meets Terms and BitDegree Course Guidelines (hereinafter - Course) and receive the licensing fee.

1. The Terms of Uploading the Course

1.1. By uploading the Course to the BitDegree platform the Instructor agrees to licence the Course to the BitDegree UAB (hereinafter – Licence Buyer).

1.2. The Instructor is and remains the author of her or his copyright protected work before and after uploading the Course. The Instructor ensures that the reproduction and communication to the public of the uploaded Course (including text, images, graphics, videos, etc.) is permitted. In particular, the Instructor ensures that by uploading the Course onto the Platform, the Instructor does not in any way violate any copyright and ancillary copyright protected positions, rights of interests of third parties (e.g., by uploading plagiarisms of academic papers, pirated movies or software, etc.), no personal rights, rights to one's own image, no trademark rights held by third parties (brands, company names, titles, etc.).

1.3. The Instructor shall not upload any content of unconstitutional organizations as well as the proliferation of unconstitutional, particularly racist, ideas, the dissemination of pornographic material, or content that is libelous, slanderous or otherwise defamatory or violates statutory regulations (e.g., criminal law, youth protection law, privacy law, copyright law or trademark law).

1.4. The Instructor shall comply with the following code of honor: (i) The instructor registers for one account only and does not make the login data available to anyone; (ii) All Course content and any additional content which the Instructor uploads is the result of the Instructor’s own work without external help (unless collaboration with others is explicitly permitted) and without the aid of materials other than explicitly permitted for the Course; (iii) The Instructor shall not make available any solutions to works, examinations or other assignments to others. This includes the Instructor’s own solutions as well as those released by the respective lecturer; (iv) The Instructor does not engage in any activity that would dishonestly improve the Instructor’s results, or improve or deteriorate the results of other Instructors. In particular, the Instructor shall not perform any examinations or provide any other assignments for others.

1.5. If the Instructor or the uploaded Course does not comply with the above terms, BitDegree has the right to reject the Instructor’s submission or remove the Course from the Platform without any prior notice.

1.6. If the Course is removed on the basis of provisions (1.2.) or (1.3.) (i.e. the Course material infringes upon the rights of third parties), the Instructor shall not receive any licensing fee and is obliged to return the received licensing fee within 3 (three) business days.

2. The Licence

2.1. The Instructor grants the Licence Buyer the licence to the Course. The licence encompasses transferable, non-exclusive rights unlimited in respect of time and place to the works published on the Platform. This includes the right without any limitations or restrictions to territory, country or time to distribute, reproduce, adapt, make available, broadcast and retransmit and to recite, perform and present in public. In particular, the Instructor grants BitDegree the right to make the Course available on the Platform in any form, and to undertake any adaptations and reproductions that are required for this purpose (storage on the servers of BitDegree, etc.) and to permit reproductions to other users. This also includes the right to undertake acts of exploitation within the context of additional functionalities applicable at any given time, such as copying, editing and storing of documents published in the context of apps, news feeds (in varying formats if necessary), other subscription services (push services) or retrieval services (pull services) and the use of the Instructor’s Course in optimized versions of the Platform on mobile devices or apps. The rights granted are always limited to functions and features of the Platform.

2.2. The Licence Buyer also reserves the right to open the Platform using an appropriate application programming interface (called API), so that the Platform may be used by or in the context of internet services provided by third parties, which may include granting access to content posted by the Instructor. The Instructor can determine whether the contents shall be accessible by the public. In that regard, the Instructor grants the Licence Buyer the right to permit the exploitation of rights to third parties to the same extent as they were granted to the Licence Buyer. This shall not affect the Licence Buyer’s entitlement to continue to use the rights granted to the Licence Buyer.

2.3. The rights granted to the Licence Buyer according to the provisions above do not permit the exploitation of the Instructor’s Course independently of the Platform. Any reproduction or use of the Courses and their content in other electronic or printed publications beyond BitDegree’s service without the prior written consent of the Instructor is not permitted.

2.4. The Instructor has the right to fully or partly remove the Course from the Platform. Upon the request to remove the Course, the licence is terminated (or partly terminated for the portion of the Course to be removed) within two weeks after the Instructor’s request.

2.5. The termination of the licence shall not in any way affect the rights of the users who have bought the Course before the termination of the licence. I.e. a user who has bought the Course before the termination of the licence shall have the right and opportunity to complete the Course in accordance with BitDegree Terms Of Service.

3. Licensing Fee Models

BitDegree offers licensing fee models, which are based on the means the user enrolls in the Course.

3.1. The Instructor Promo. The Instructor receives 99% of the price the user paid for the Course to BitDegree when a user purchases the Course via the Instructor Promo. The workings of the model are detailed below.

3.1.1. The Instructor uses BitDegree tools to create an Instructor Promo (a unique digital code attached to a hyperlink, which directs to a Course landing page).

3.1.2. The Instructor shares the Instructor Promo with third parties or users of the Platform (hereinafter - users).

3.1.3. The user uses the Instructor Promo to purchases the Course.

3.1.4. The Instructor receives 99% of the price the user paid for the Course to BitDegree via the Instructor Promo.

3.2. BitDegree Platform. The Instructor receives 50% the price the user paid for the Course to BitDegree when a user enrolls in a Course while using the BitDegree platform. See the examples below.

3.2.1. A user reaches the Course landing page via search engines (Google, Bing, Yahoo, etc.) and enrolls in the Course.

3.2.2. A user reaches the Course landing page by browsing the BitDegree platform and enrolls in the Course.

3.2.3. The user reaches the Course landing page via a hyperlink other than the Instructor Promo and enrolls in the Course.

3.2.4. The user reaches the Course landing page and enrolls in the Course through some other means, not covered in the Instructor Promo, BitDegree Platform, Affiliate Program and BitDegree Ads licensing fee models.

3.3. Affiliate Program. The Instructor receives at least 25% of the price the user paid for the Course to BitDegree when a user enrolls in a Course through a hyperlink to the Course landing page shared by a BitDegree partner.

3.4. BitDegree Ads. The Instructor receives 25% of the the price the user paid for the Course to BitDegree when a user enrolls in a Course via a BitDegree ad.

4. Licencing Fee Currency

4.1. The Instructor may choose to receive the licencing fee in the currency of United States dollars (USD).

4.2. The Instructor receives the licencing fee in BDG tokens, a standard erc-20 utility token. All courses in BDG tokens have an automatic discount of 20%. The Instructor receives the same percentage of the price paid for the Course to BitDegree in BDG tokens as is indicated in the provisions of article (3) Licensing Fee Models.

4.3. The Instructor may choose to receive the licencing fee in Ether (ETH), a cryptocurrency based on Ethereum Blockchain.

4.4. The Instructor may choose to receive the licencing fee in Bitcoin (BTC), a cryptocurrency based on Bitcoin Blockchain.

4.5. When the Instructor receive the licencing fee in BDG tokens, ETH or BTC, the article (5) Payout Terms does not apply. The Instructor receives the licencing fee in BDG tokens, ETH or BTC within 2 (two) business days after the Instructor’s request.

5. Payout Terms

5.1. The payout to the Instructor is made when:

5.1.1. The Instructor has at least 50 (fifty) USD receivables from BitDegree;

5.1.2. More than 30 days have passed since these receivables have been paid for a Course (to account for the 30-day chargeback option).

5.1.3. The Instructor requests for the payout to be made.

5.1.4. The Instructor has passed Know Your Customer requirements.

5.2. To pass Know Your Customer requirements The Instructor shall provide BitDegree with (i) Name and Surname; (ii) Address and Phone number; (iii) ID and utility bill regarding address. The BitDegree also reserves right to ask additional information if needed.

5.3. The Instructor receives the licencing fee on the 15th day of the month.

6. Taxes

The Instructor is obliged to pay taxes on income according to the tax laws applicable to the Instructor.

6.1. The Instructor must present full and proper tax documentation to the Licence Buyer.

6.2. In case the Instructor does not present full and proper tax documentation, the Licence Buyer may withhold the payment of the licensing fee.

6.3. The licensing and distribution of a Course on the Platform is not subject to value added tax (VAT). If the Instructor issues a VAT invoice to the Licence Buyer, the VAT shall be deducted from the licensing fee to be paid to the Instructor.

6.4. The Instructor shall indemnify and hold harmless the Licence Buyer against all claims by any tax authority for underpaid VAT and any related penalties and/or interest.

7. Final Provisions

7.1. The BitDegree Instructor Payment Terms and Conditions are subject to update and change. The Instructors shall be informed of any changes to the Conditions within a reasonable term before the changes come into effect.
